Terms of Use & License Agreement

The agreement between you and MindGrid Labs for using TelePrompter Pro.

These Terms of Use and the End User License Agreement (together, the “Terms”) govern your use of the TelePrompter Pro software (the “Software”) provided by MindGrid Labs (“we,” “us”). By downloading, installing or using the Software, you agree to these Terms.

1. License grant

Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable license to install and use the Software:

2. Free trial

The Software offers a time-limited free trial. Some features are limited during the trial and certain features are disabled when the trial ends until a license is purchased and activated. We may change the trial length or limitations for future releases.

3. License keys

Upon purchase you receive a license key. You are responsible for keeping your key confidential. Sharing, publishing, reselling or distributing license keys is prohibited and may result in deactivation without refund.

4. Restrictions

You may not: (a) reverse engineer, decompile or disassemble the Software except to the extent permitted by law; (b) remove or alter any proprietary notices; (c) circumvent or attempt to circumvent the trial or licensing mechanisms; (d) redistribute the Software as your own; or (e) use the Software for unlawful purposes.

5. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title and interest in and to the Software, including all intellectual property rights.

6. Updates

We may provide updates from time to time. Personal licenses include updates for one year from purchase; Creator Pro licenses include updates for the life of the product. Updates are governed by these Terms unless accompanied by a separate agreement.

7. Disclaimer of warranties

The Software is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or that the screen-capture exclusion will function with every third-party tool or future operating system change. You are responsible for testing the Software for your intended use.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of your use of the Software. Our total liability under these Terms will not exceed the amount you paid for the Software in the twelve months preceding the claim.

9. Termination

This license terminates automatically if you breach these Terms. On termination you must stop using and delete the Software. Sections that by their nature should survive termination will survive.

10. Refunds

Refunds are handled under our Refund Policy, which forms part of these Terms.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which MindGrid Labs operates, without regard to conflict-of-law principles. The applicable courts of that jurisdiction will have exclusive jurisdiction, subject to any mandatory consumer protections available to you.

12. Changes

We may update these Terms. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
